Newcastle United face the possibility of a significant financial penalty from UEFA following a controversial internal financial transaction involving their stadium.
The issue centres on the sale of the leasehold for St James’ Park to a company linked to the club’s ownership structure.
The deal, completed on June 27 last year, resulted in the leasehold being sold for around £172 million to PZ Newco Holdings Ltd.
That company is connected to Newcastle’s Saudi-backed majority owners, the Public Investment Fund.
The transaction generated a profit of approximately £129m for the club. Newcastle also recorded an additional £4.1m from the sale of another related company.
The financial boost allowed the club to remain compliant with the Premier League Profit and Sustainability Rules.
However, UEFA’s financial regulations treat internal asset sales differently. Profits generated from transactions involving related companies cannot be counted as revenue.
That means the stadium sale may not be recognised in the same way during European financial assessments.
Newcastle could now face disciplinary measures from UEFA. Possible sanctions include a substantial fine.
Recent precedent suggests UEFA are prepared to act against clubs using similar accounting structures.
Chelsea and Aston Villa were both fined last year for breaching financial regulations linked to internal transactions.
Chelsea were ordered to pay around £27m, while Aston Villa received a £9.5m fine. Newcastle’s executives are aware that the club could now face similar scrutiny.
European rules limit clubs to losses of around €60m across three years.
They also restrict squad spending on transfers and wages to 70 percent of club revenue.
That means the profit generated by the stadium deal may not significantly improve Newcastle’s spending power in Europe.
Club officials are therefore facing a delicate balancing act between domestic financial rules and UEFA oversight.
The situation could become clearer once UEFA completes its financial review.
